3.1                            Entire Agreement and Modification.  Subject to Section xx.x, this Agreement supersedes all prior agreements  among the Parties with respect to its subject matter and constitutes a complete and exclusive statement of the terms of the agreement between the Parties with respect to its subject matter.  This Agreement may not be amended, supplemented or otherwise modified except in a written document executed by the Party against whose interest the modification will operate.

3.1                            最終性条項と修正

第xx.x節に従い、本契約は、本契約事項に関わる本契約に先立つ全ての当事者間の合意事項に優先するとともに本契約事項に関わる両契約者間の完全かつ排他的な合意条件の記述を構成する。

本契約は、その変更が不利に作用する側にある契約当事者の文書による同意がある場合を除き、補足されたり修正されることはできない。
